Agreement to Terms

By accessing or using Eden Processing's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Use License

Eden Processing provides payment processing solutions and related services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. You agree not to disclose your password to any third party.

Payment Terms

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties. Payment processing services are subject to additional terms and conditions as outlined in your service agreement.

Prohibited Uses

You may not use our services:

• For any unlawful purpose or to solicit others to perform or participate in any unlawful acts
• To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To engage in any automated use of the system

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Eden Processing and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Disclaimer

The materials on Eden Processing's services are provided on an 'as is' basis. Eden Processing makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Limitations of Liability

In no event shall Eden Processing or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use Eden Processing's services, even if Eden Processing or an authorized representative has been notified orally or in writing of the possibility of such damage.

Indemnification

You agree to defend, indemnify, and hold harmless Eden Processing and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the service.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
